Terms of Service

1. The service.

Rouze is an AI deal intelligence platform operated by Rouze LLC, 66 W Flagler Street, Miami, FL. Free accounts receive competitive intelligence features. Paid subscriptions allow "arming" individual sales opportunities, which unlocks AI coaching on that opportunity (prep briefs, objection practice, voice roleplay, and live call coaching, collectively "Godwyn coaching").

2. Accounts.

You must provide a valid email address and are responsible for activity under your account. Workspace administrators control billing, seat assignment, and the setting governing which members may arm deals at additional cost.

3. Plans and billing.

Paid plans (READY, ARMED, POWER, COMMAND) bill monthly in advance via Stripe. Each plan includes a set number of armed deals per monthly billing period. Included deals refresh each billing period and do not roll over. Arming a deal beyond your included count requires explicit confirmation at the displayed overage price and is charged to your saved payment method at the time of arming. All arm charges are one-time debits recorded at the price in effect when the arm occurs; later plan changes do not reprice past arms.

4. The armed-deal entitlement.

Arming a deal unlocks Godwyn coaching on that opportunity until the earliest of: (a) the opportunity closes and remains closed for 30 days; (b) 12 months from arming; or (c) your workspace ceases to be on an active paid plan in good standing. Each armed deal includes up to 10 live coached calls; additional live-call capacity may be offered separately. A deal reopened within 30 days of closing retains its arm; reopening later requires re-arming. One arm covers one discrete CRM opportunity; the same opportunity cannot be armed twice concurrently.

5. Upgrades, downgrades, cancellation.

Upgrades take effect immediately with prorated subscription charges; your current period's included-deal ceiling rises to the new plan's allowance, and deals already consumed still count against it. Downgrades take effect at the next renewal. You may cancel anytime; service continues through the end of the paid period, after which coaching pauses, your account converts to the free tier, and previously generated artifacts remain viewable.

6. Failed payments.

If a renewal payment fails, existing armed deals continue to receive coaching during a 7-day grace period, but no new deals may be armed and included deals do not refresh. If payment is not recovered, paid features pause until payment succeeds. Successful payment restores service immediately.

7. Fair use.

Coaching allowances exist so one workspace's usage cannot degrade the service for others. Creating umbrella opportunities to route multiple distinct commercial deals through one arm, materially rewriting an armed opportunity's identity, or automated abuse of coaching endpoints violates these terms. We may contact you before acting on suspected abuse; egregious cases may result in suspension.

8. Your data.

You retain ownership of your CRM data, deal information, and content you provide. You grant Rouze the license needed to operate the service, including processing your data through AI model providers under confidentiality obligations. Aggregated, anonymized usage statistics may be used to improve the service; no customer's deal data is shown to another customer.

9. AI output disclaimer.

Godwyn coaching is AI-generated guidance. It may contain errors and is not a substitute for your judgment. You are responsible for what your representatives say and do in sales situations. Rouze does not guarantee any specific deal outcome or win rate except where a separate written guarantee expressly states otherwise.

10. Disputes and chargebacks.

If you dispute a charge with your card issuer, we may suspend new paid consumption on the workspace while the dispute is open, preserving existing data. We keep records of arm confirmations (who, when, what price was displayed and accepted) and may submit them as dispute evidence.

11. Liability.

The service is provided "as is." To the maximum extent permitted by law, Rouze's total liability for any claim is capped at the amounts you paid in the 3 months before the event giving rise to the claim, and Rouze is not liable for indirect, consequential, or lost-profit damages.

12. Changes.

We may update these terms; material changes will be notified by email or in-product at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

13. Governing law.

Florida law governs these terms; venue is Miami-Dade County, Florida.
